What we can cover

Quick answers to what foreigners ask most

Can a foreigner own 100% of a company in India?

Yes, in most sectors, under the automatic route — no prior government approval. A few sectors have caps or need approval, and investors from countries sharing a land border with India need approval (with a relaxation for non-controlling stakes up to 10%).

Do I need an Indian partner or director?

You don't need an Indian partner, but a private company needs at least two directors, and at least one director must have stayed in India for 182 days or more in the financial year. Many foreign companies use an Indian employee or a professional resident director.

Is there a minimum capital requirement?

No minimum paid-up capital for a private limited company. Capital should match the plan, and foreign investment must be reported to the RBI (Form FC-GPR within 30 days of issuing shares).

How long does it take to set up a company in India?

Usually a few weeks once documents are ready. Foreign shareholder and director documents must be notarised and apostilled (or consularised), which often takes longer than the Indian filing itself.

Subsidiary, LLP, branch or liaison office?

A subsidiary (private limited company) suits most businesses. An LLP can take FDI only in sectors with 100% automatic-route FDI and no FDI-linked conditions. Branch, liaison and project offices need approval through an authorised bank and are taxed differently.

What tax will my Indian company pay?

A domestic company can opt for a 22% base rate (about 25.17% with surcharge and cess). Dividends to the foreign parent are taxed in India, often at a reduced treaty rate with a tax residency certificate and Form 41.

Can I hire in India without setting up a company?

Yes, through an employer of record or contractors, but watch permanent-establishment risk. See hiring in India without an entity.

How do I check an Indian partner or supplier?

Start with public records — company filings, GST, directors, charges and courts — then visit. A fixed-fee India Company Check costs USD 249.

What visa do I need?

A business visa usually covers meetings and setting up; working in India for an Indian entity generally needs an employment visa. Check the current rules for your nationality.

Can I talk to someone before deciding?

Yes — book a free 15-minute call. Topmate shows available slots in your own time zone.
