Subsidiary compliance

Your Indian subsidiary, compliant and reported on time

Foreign parents use us as the finance team for their Indian subsidiary: books, payroll, GST, TDS, transfer pricing, FEMA and ROC filings — with a monthly pack in your format and one person accountable.

Transfer pricing

  • Every charge between the subsidiary and the group — services, licences, loans, reimbursements, stock options — must be at arm’s length, documented and reported annually.
  • Most captive service subsidiaries charge cost plus a markup; eligible IT and ITeS units can consider the safe-harbour option under the Income-tax Rules, 2026.
  • We prepare the intercompany agreements, benchmarking and annual report, and keep the cost base clean month by month. More: transfer pricing guide.

Reporting to the parent

  • A monthly pack on your calendar: P&L, balance sheet, cash, headcount and budget vs actuals.
  • Mapping from Ind AS / Indian GAAP to US GAAP or IFRS, intercompany reconciliations and audit support for the group auditor.
  • Work in your group’s ERP or accounting system, with access controls you set.

Paying the parent

Dividends, service fees, royalties and interest each carry Indian withholding tax, reduced by your country’s tax treaty with the right paperwork. From 1 April 2026, buybacks are taxed as capital gains in the shareholder’s hands. Full guide: repatriating profits from India.

How we work with clients abroad

  • Fully remote: engagement letter and NDA by e-signature, data through your virtual data room or a shared drive, calls on your time zone (US mornings, Europe and Gulf afternoons, Japan and Singapore mornings IST).
  • In English, in writing: every finding is referenced to a document or a public record, so your board, lawyers or auditors can rely on it.
  • On the ground when needed: offices in Ahmedabad, Mumbai, Bengaluru, Rajkot and Dubai for site visits, bank meetings and management interviews.
  • Clear scope: CA work — accounting, tax, FEMA and corporate filings. Legal opinions come from your lawyers; we work alongside them.

Frequently asked questions

What are the annual compliances for an Indian subsidiary of a foreign company?
Statutory audit and AGM, financial statements and annual return with MCA, income-tax return and transfer-pricing report, the FLA return to RBI by 15 July, monthly GST and TDS, payroll filings, and FC-GPR within 30 days of any share issue.
Does an Indian subsidiary need a resident director?
Yes. Every Indian company needs at least one director who has stayed in India for 182 days or more in the financial year.
Can you report to us in US GAAP or IFRS?
Yes. We close the Indian books under Ind AS or Indian GAAP for statutory purposes and map them to the parent's US GAAP or IFRS reporting each month.
Can you do the accounting and the statutory audit?
No — an auditor must be independent of the accounting. We handle accounting and compliance and work with your appointed statutory auditor.
