What’s covered

  • Investor-grade financial model — driver-based, with scenarios investors can stress-test themselves.
  • Pitch-deck financials — the numbers slide, use of funds and milestones that tie back to the model.
  • Cap table and dilution modelling — ESOP pool sizing, SAFEs/CCDs/CCPS conversion and pro-forma ownership.
  • Data room structuring — legal, financial, tax and regulatory folders organised the way diligence teams expect.
  • Due-diligence management — query trackers, document requests and responses handled with you.
  • Term-sheet review and closing — economics and control terms, CP/CS checklists, and post-closing FEMA filings such as FC-GPR.

Frequently asked questions

When should a startup start preparing for fundraising?
Ideally three to six months before you start investor conversations — enough time to clean up books and compliance, build the model and set up the data room.
What goes into a startup data room?
Typically corporate documents, cap table and past agreements, financial statements and MIS, the financial model, tax and GST filings, FEMA/RBI filings for any foreign investment, key contracts, IP assignments and employee/ESOP records.
Do you help with SAFE notes and convertible instruments?
Yes — including modelling conversion into equity and, for Indian companies, the FEMA and Companies Act requirements that apply to the instrument chosen.
Can you help after the round closes?
Yes. Post-closing work includes allotment, FC-GPR reporting, updated cap table and setting up investor reporting.
