- The Indian subsidiary needs a resident director and must report the US parent’s investment in Form FC-GPR within 30 days.
- US parents with foreign subsidiaries have their own US reporting — coordinate it with the Indian year-end.

Frequently asked questions
How does a US company set up in India?
Usually through a wholly owned Indian private limited subsidiary under the automatic FDI route, with at least one director resident in India, FC-GPR reporting within 30 days of issuing shares, and transfer-pricing documentation for charges to the US parent.
Can a US company pay its Indian subsidiary cost plus a markup?
Yes — it is the standard model for captive centres. The markup must be at arm's length; for eligible IT services India's safe harbour from tax year 2026-27 is 15.5% on cost.
Can Indian employees receive stock options from a US parent?
Yes. The Indian employer deducts tax on the perquisite at exercise, based on a fair market value determined by a SEBI-registered Category I merchant banker, and the grants are reported under FEMA.
