Partner due diligence

Partnering with an Indian business? We check them for you, on the ground.

Before you sign a joint venture, distribution, supply, licensing or outsourcing agreement with an Indian company, CA Durgesh Chavda’s team checks who they really are, how they really perform and what could go wrong — and reports to you in English.

In one line: foreign companies use us as their independent eyes and ears in India — checking a prospective partner’s identity, finances, tax and regulatory standing, owners and premises before money or IP changes hands.

Three levels of checks

01

Verify

Company records, GST and import–export registrations, filed financial statements, charges, director history and a premises visit. Answers “is this company real and roughly what it claims?”

02

Review

Three years of financials, GST and income-tax position, related parties, customers and receivables, litigation through public records and counsel, and a management meeting.

03

Diligence & structure

Full financial, tax and FEMA due diligence, red-flag report, deal-structure and tax advice, and drafting points for your agreement with your lawyers.

Promoters and directors

In India, the people behind a company matter as much as the company. With your mandate we review promoters’ and directors’ other companies (including struck-off ones), public litigation records, regulatory actions and adverse media — and, for anti-bribery programmes, government links and how intermediaries are paid. Checks follow Indian data-protection law and are limited to what your decision needs.

What you receive

  • A written report in English: what we checked, what we found, red flags and a plain conclusion.
  • Copies or references for every public record relied on.
  • For deals: suggested conditions, warranties and protections for your agreement.
  • Optional: a call with your legal, compliance or investment committee.

How we work with you abroad

  • Engagement letter and NDA by e-signature; scope and fee fixed upfront.
  • Calls on your time zone — US, UK, Europe, Gulf, Singapore, Japan, Australia.
  • Visits from our offices in Ahmedabad, Mumbai, Bengaluru, Rajkot and Dubai; other locations by arrangement.
  • Legal opinions come from lawyers; we coordinate with your counsel in India or at home.

Due diligence by home country: US companies · UK companies · EU & German companies · UAE & Gulf investors · Australian & NZ companies · Japanese companies.

People checks: background checks on Indian promoters & directors.

India’s own rules: anti-bribery law for foreign companies.

Frequently asked questions

How do I do due diligence on an Indian company before partnering?
Start with free public records — MCA company data, GST registration and import-export code — then review its filed financial statements, tax position, charges, litigation and promoters, and visit the premises. For joint ventures or large contracts, commission a full financial, tax and FEMA review from an Indian CA.
Can someone in India check a business partner on our behalf?
Yes. CA Durgesh Chavda's team checks Indian partners for foreign companies — records, finances, tax, regulatory standing, promoters and premises — and reports in English, working remotely and on the ground.
What are the red flags in an Indian partner?
Filed revenue far below what is claimed, a struck-off or non-filing status, cancelled GST, undisclosed charges on assets, unpaid tax demands, related-party money flows, promoters linked to failed companies, and pressure to pay into a different entity's account.
Do you do background checks on Indian directors?
Yes, with your mandate and within Indian data-protection law: their other directorships, public litigation and regulatory records, and adverse media relevant to your decision.
