Reality check

US LLC for Indian freelancers: what it does — and doesn’t — change

“Form a Wyoming LLC and pay zero tax” is one of the most repeated tips online. For someone living and working in India, it’s mostly wrong — and it can add US and Indian filings with serious penalties.

The myth vs the reality

What people hearWhat usually happens for an India-resident owner
“No US tax”Often true for services you perform from India — but the LLC still has annual US filings
“No Indian tax”False — you’re taxed in India on worldwide income, including what the LLC earns
“Keep the money in the US”FEMA rules and Indian tax apply whether or not the money comes home
“Cheap and simple”State fees, a registered agent, Form 5472 and Indian reporting every year

US side: tax and filings

  • A single-member LLC owned by a non-US person is, by default, a disregarded entity for US tax.
  • If you perform the work from India and the LLC has no US office, employees or agents, its income is generally not “effectively connected” with a US trade or business — so there is often no US income tax.
  • But it must still file a pro forma Form 1120 with Form 5472 every year, even with no tax due — the penalty for missing it starts at $25,000. See the Form 5472 guide.
  • Plus the state charges: $400 a year in Delaware for the 2026 tax year onwards (first payable 1 June 2027), or Wyoming’s annual report fee, and a registered agent. Compare in Delaware vs Wyoming LLC.

India side: tax

  • As an Indian tax resident you’re taxed on your worldwide income. The LLC’s profits are taxable in India whether or not you bring the money home.
  • India doesn’t automatically follow the US “disregarded” treatment. Depending on how the LLC is characterised, the income may be taxed in your hands directly, or the LLC may be treated as a foreign company — which raises the POEM question: a company effectively managed from India can be treated as Indian-resident.
  • You must disclose the LLC in Schedule FA (and foreign income in the relevant schedules). Non-disclosure of foreign assets can attract penalties under the Black Money Act.

India side: FEMA

  • Owning the LLC is an overseas investment — capital should go through your AD bank and be reported (Form FC), with an Annual Performance Report every year. See ODI rules for US companies.
  • If you personally do the work from India, you are effectively exporting services. Export earnings are expected to be realised in India within the period RBI prescribes; parking them indefinitely in a foreign account you control is exactly what FEMA scrutinises.

When an LLC (or C-Corp) does make sense

  • US clients or platforms insist on a US vendor and won’t contract with an Indian individual or company.
  • You have, or will have, US team members, operations or customers needing a US entity.
  • You’re building a product business that may raise money — in which case you likely want a Delaware C-Corp, not an LLC.
  • You’re planning to move to the US.

Simpler ways to get paid by US clients

  1. Invoice from India as an individual or through an Indian entity, and receive payment into your Indian bank account through normal banking or regulated payment platforms, keeping the inward-remittance advice for each payment.
  2. GST: if you’re registered, exports of services can be zero-rated — typically by filing a Letter of Undertaking — when the export conditions are met. See GST & tax advisory.
  3. Treaty forms: give US clients a W-8BEN (individual) or W-8BEN-E (entity) so they don’t withhold US tax unnecessarily. See the India–US DTAA guide.
  4. Grow into a company when the business needs one — an Indian private limited company or LLP, and later a US subsidiary if US operations justify it.

Frequently asked questions

Do Indian freelancers pay US tax through a US LLC?
Often not, if the work is performed from India and the LLC has no US office, employees or agents — but the LLC must still file a pro forma Form 1120 with Form 5472 every year, and state fees apply.
Is US LLC income taxable in India?
Yes. Indian tax residents are taxed on worldwide income, and the LLC's profits are taxable in India whether or not the money is brought back. The holding must also be disclosed in Schedule FA.
Is it legal for an Indian resident to own a US LLC?
Yes, as an overseas investment under FEMA's Overseas Investment Rules, 2022 — made through an AD bank, reported in Form FC, with an Annual Performance Report each year.
What is the simplest way for an Indian freelancer to get paid by US clients?
Usually to invoice directly from India, receive funds into an Indian bank account through regular banking or regulated payment platforms, and — if GST-registered — export under a Letter of Undertaking, giving clients a W-8BEN to avoid unnecessary US withholding.
